IT09336410965, welcomes you to the service he provides, which enables its Customers to access online training courses and One to One Tutoring services in e-learning mode, in the field of dentistry (the “dpalombo_perio Academy Content” or “the Content“) accessible via the Internet through the www.dpalombo-perio.academy website and its related web pages (collectively, the “Platform”).

Access to and use of the Platform is subject to these General Terms and Conditions of the Platform (the “General Terms and Conditions”). Therefore, we encourage you to read the General Terms and Conditions carefully before purchasing our educational content and subscribing to the Platform. All rights reserved.

Preamble

For the purposes of this contract, the following definitions apply:

“Professional”: any natural or legal person acting within the framework of their business, trade, craft or profession.

“Customer”: the person, who has purchased the Product according to the information and conditions expressed in this contract and in the product description available on the Platform.

“Provider”: dpalombo_perio Academy, which is the commercial name by which Dr. David Palombo provides the service.

“Product” or “Content”: the online training course provided in e-learning mode (including, but not limited to the course Micro Perio Bootcamp and its modules BioRegeneration and Soft Tissue Mastery) and the One to One tutoring activities.

“Distance Contract”: the contract concluded between the Provider and the Customer without the physical and simultaneous presence of the parties, by means of one or more distance communication tools.

“Platform”: the website www.dpalombo-perio.academy, exclusively owned by Dr. David Palombo and its related opt-in and landing pages.

Before purchasing the product online (with full payment required at the time of order), the Customer must expressly accept these Terms and Conditions, which shall be deemed acknowledged and accepted also pursuant to Articles 1341 and 1342 of the Italian Civil Code, together with the provisions governing registration, access, navigation and use of the Website www.dpalombo-perio.academy.

Important Clarification:
The courses offered by the dpalombo_perio Academy are private online training programs, developed by Dr. David Palombo exclusively for professional education. They are not affiliated with any university, do not constitute postgraduate university “Masters,” and do not provide academic or professional credits.

License for courses access is valid for one year (365 days) starting from the date of enrollment.

The Customer authorizes the dpalombo_perio Academy and Dr. David Palombo to use their email address for communications related to this contract and for sending information about distance learning services.

These Terms and Conditions may be modified and/or updated at any time by the dpalombo_perio Academy. Any changes and/or new conditions will be effective from the moment of their publication on the Website in the “Terms and Conditions” section, with the indication of the date of update.

The above preamble forms an integral part of these Terms and Conditions.

1. PLATFORM REGISTRATION AND ACCOUNT SETUP

1.1. Platform registration requirements. Only users who are of legal age and who (i) are working in the professions of Dentist, Dental Hygienist, Dental Technician; or (ii) are working at companies operating in the dental sector may purchase its educational Content and thus register on the Platform creating an account.The Platform is exclusively intended for professionals working in the above fields. Therefore, by enrolling in the Platform, you declare that you meet the requirements set forth in this Section 1.1, you work in the one of the above fields, and you are not acting as a consumer. Anyone who does not meet these requirements may not register with the Platform.

1.2. Platform Registration Process. In order to access the Platform’s Content you are required to purchase one of its online training courses at www.dpalombo-perio.academy and provide the necessary information (such as, but not limited to, first name, last name, a valid email address), including payment information. By clicking on “Place order” or “Pay with PayPal”, you complete the purchase of the selected course, you complete the registration process and you accept these General Terms and Conditions and the Privacy Policy.

1.3. You are solely responsible for the safekeeping of your login credentials (i.e., username and password) entered during registration and acknowledge that these credentials are the sole means of access to the Platform. You agree, therefore, to keep them in the strictest confidence, remaining solely and exclusively liable for any activity that occurs under, or through, your account.You agree, therefore, to report to Dr. David Palombo at info@dpalombo-perio.academy any unauthorized access to your account and/or breach of security as soon as you become aware of it. Dr. David Palombo shall not be liable for any damages resulting from unauthorized use of your account.

1.4. You must ensure that the information provided during registration and, any other information relating to your account, is always current, complete, accurate and true. In particular, you represent and warrant that the email address provided is always active and correct, as it is essential to carry out the registration to the Platform and to receive communications from Dr. David Palombo regarding these General Terms and Conditions and the Platform Registration.In case of untrue and/or incomplete data, Dr. David Palombo reserves the right to suspend and/or deactivate the account, giving notice to you by e-mail at the address provided during registration or associated with the account, if you do not complete the missing data and/or correct the data previously entered.

1.5. You agree not to pretend to be another person or falsely represent an affiliation with any individual or other legal entity, including by use of another’s user name, password or other account information, or the name or appearance of another person. You acknowledge and agree that Dr. David Palombo may take necessary steps to verify the accuracy of the information you provide.

1.6. Platform registration requirements. Simple access to the Platform website will allow you to see short previews of some of the Content available on the Platform, shared for promotional purposed. In order to enjoy the full range of the dpalombo_perio Academy Content, you must purchase a license to one of its online training courses provided in e-learning mode in accordance with the Sections below.

1.7. License Validity. Courses access license is valid for one year (365 days) starting from the date of enrollment. As set forth below, if your one-year license to one of the purchased coursed terminates, your account will be kept active, but you will not be able to access the course content anymore. It is expressly understood that, payments are non-refundable; therefore, in the event you have purchased a course or online tutoring session and intend in any case to permanently close your account during the license period itself, Dr. David Palombo will neither grant any refunds or credits for license periods partially used, nor for dpalombo_perio Academy Content not used by the user.

1.8. One-to-One Tutoring Service. Dr. David Palombo also provides its users with a one-toone tutoring service (the “One-to-One Tutoring”). This service allows Platform users to book online training sessions (via video call) with Dr. David Palombo. One-to-One Tutoring is a training session that takes place exclusively between the Dr. David Palombo and the individual User who booked the session. Therefore, the User is not entitled to authorize third parties to participate in the One-to-One Training session. In order to book a One-to-One Tutoring session, the User must purchase one of the One to One Tutoring options within the dpalombo_perio Academy website, either individually, or as part of an educational package together with licenses to online training courses provided in e-learning mode. The User will be charged to the User’s chosen payment method upon completion of the booking process. If the payment is not successful, the User will be notified immediately. The selected One-to-One Training session is not deemed booked until the corresponding payment has been successfully processed. It remains understood that should the training session, at Dr. David Palombo’s will, last longer than the time selected and booked by the User, no additional costs will be charged to the latter. Upon completion of the booking, the User will receive a communication from Dr. David Palombo at the email address associated with their account, detailing the booking made and providing the link to access the One-to-One Tutoring session.Available dates and times for One-to-One Tutoring sessions will be periodically updated on the Platform. The User may cancel the reservation within 3 days prior to the date of the One-to-One Tutoring session, at no additional cost, by sending an email to Dr. David Palombo at info@dpalombo-perio.academy. In that event, Dr. David Palombo will refund the amount paid by the User to the same payment method employed at the time of the booking. Should the cancellation request be received by Dr. David Palombo after the aforementioned deadline, no refund will be provided and the amount paid for the booking will be retained by Dr. David Palombo as a penalty.The video call service used for the One-to-One Training session allows the User and Dr. David Palombo to exchange any documentation strictly related to that particular One-to-One Training session, which falls under the sole and exclusive responsibility of both parties. In this regard, it is expressly forbidden for the User to transmit any documentation that (i) contains their own and/or third parties’ personal data, (ii) concerns any clinical material and/or any documentation pertaining to patients and/or third parties. 2. LICENSE AGREEMENT

2.1 Purpose of the Contract. This Distance Contract concerns the license provision by Dr. David Palombo to the Customer, for the visualization of online training courses in e-learning mode and the delivery of personalized one-to-one tutoring service via online video calls. These General Terms and Conditions form a license agreement and not a contract of sale or assignment of any rights in Dr. David Palombo’s dpalombo_perio Academy Content or the Platform. All rights reserved.

2.2 Pre-contractual Information. The Customer declares to have read, prior to purchase, all the information contained in the descriptions of the services on the Platform, including: main features of the products, prices, payment methods, and usage terms. The price is indicated on the respective product pages and may be subject to discounts and promotions at the discretion of Dr. David Palombo, without generating rights to refunds or adjustments for previously completed purchases. Participation in the courses does not provide academic or professional credits, unless expressly indicated, and does not constitute a professional qualification.

2.3 Conclusion of the Contract. Pursuant to Article 1326 of the Italian Civil Code, the contract is concluded upon confirmation of enrollment and full payment of the price. Once the procedure is completed, the Customer is granted access to the chosen course for the specified duration.

3. TERMS OF USE OF THE DPALOMBO_PERIO ACADEMY SERVICES

3.1 Platform Compatible Devices. Use of the Platform requires compatible devices, and some software may require periodic updates. The dpalombo_perio Academy Content can be accessed with most internet-compatible computers and mobile devices (said computers and mobile devices will also be referred to hereafter as “Compatible Devices”). The Customer declares to possess minimal hardware and software requirements necessary to access online video courses and undertakes to update their systems if required by future platform updates.

3.2 Internet Connection. You must have a high-speed Internet connection to access and use the Platform.

3.3. Streaming Viewing of dpalombo_perio Academy Content. The dpalombo_perio Academy Content can be streamed through the Platform with an active Internet connection.

3.4 Downloading of the dpalombo_perio Academy Content. You are not permitted by any means to record or download any of the dpalombo_perio Academy Content for offline viewing on any device.

3.5 Unavailabilitỳ of the dpalombo_perio Academy Content and Force Majeure. It is also possible that the Platform and/or some or all of the dpalombo_perio Academy Content may not be available for streaming viewing at any given time, such as for example (i) during periods of Platform maintenance or updating, (ii) in the event of a power outage or server down; (iii) due to force majeure such as wars, riots, strikes, social unrest; or (iv) due to other circumstances beyond Dr. David Palombo’s or third parties’ control. Dr. David Palombo shall not be liable to you for these contingencies, except in cases of willful misconduct or gross negligence and in all other cases where liability cannot be excluded or limited by law.It may happen that Dr. David Palombo needs to remove certain features, restrict certain services or functionality, and/or prevent access to the Platform or some or all dpalombo_perio Academy Content in order to make updates or technical or security improvements. In these circumstances, the dpalombo_perio Academy shall use its best efforts to inform users of such changes, disruptions, and/or restrictions. You understand that Dr. David Palombo shall not be liable to you for any modification, suspension or interruption of the Platform or the dpalombo_perio Academy Content, except in cases of willful misconduct or gross negligence and in all other cases where liability cannot be excluded or limited by law. In the event of suspension or interruption of the Platform, we may give you a credit, refund, discount, or other form of compensation. It remains understood, however, that if the termination of your account or the suspension or termination of your access to the Platform occurs as a result of a violation by you of one or more provisions of these General Terms and Conditions, you will not be entitled to any credit, refund, discount or other form of compensation.

3.6 Promotional and Experimental Features. In order to continue to improve the Platform and the service we provide to our customers, we may, with respect to some or all of our users, experiment with or offer new features or functionality of the Platform, including promotional offers, user interfaces, pricing plans, and discounted pricing. Your use of any updates, changes or replacement versions of the Platform will be governed by these General Terms and Conditions and any additional terms that you must agree to at the time you accept the update.

4. LICENSE AND RESTRICTIONS

4.1. License. For the registration term and limited to the country in which you have setup your account, Dr. David Palombo grants you the limited, for your personal use, non-transferable, non-assignable, revocable, non-exclusive and non-sublicensable right to:i. Access the Platform from your device and make personal use of it and not for commercial purposes or public screenings; andii. Stream view (without the ability to make any downloads, screen-recording, screen-shots) the dpalombo_perio Academy Content, which is copyrighted and will be made available to you by purchasing a oneyear access license, as better clarified in Section 1.6 and 1.7 above.Notwithstanding the foregoing, you are not granted or transferred any other right, title or interest in the dpalombo_perio Academy Content or the Platform. All rights reserved.

4.2 Restrictions on the use of the dpalombo_perio Academy Content. You agree not to:circumvent or disable any dpalombo_perio Academy Content protection system or dpalombo_perio Academy Content management technology and materials available on the Platform;ii. copy or record dpalombo_perio Academy Content;iii. store, modify, distribute, reproduce, publish, display, license, create derivative works from, offer for sale or use (except as expressly authorized in these General Terms and Conditions) dpalombo_perio Academy Content, the Platform and any other information obtained from or through the Platform;iv. retransmit, transmit, share (including publicly) dpalombo_perio Academy Content;v. remove, relocate, disable, decompile, circumvent, alter, reverse-engineer, disassemble the Platform or any software or other product or process accessible through the Platform or otherwise attempt to retrieve the source code from the Platform;vi. use the Platform for any business use not expressly permitted by Dr. David Palombo, whether or not for profit;vii.access, copy, monitor, or allow any other individual or legal entity to access, copy, or monitor any element of the Platform by using a robot, a spider, a scraper, or other automatic or manual means without Dr. David Palombo’s express written consent;viii. damage, disable, overburden, or impair the Platform in any way;ix. use any data mining method or data collection or extraction;x. use the Platform for any unlawful purpose or in any manner that is unlawful or inconsistent with these General Terms and Conditions;xi. share your login credentials with third parties; orxii. allow third parties to violate the above restrictions in any way.In the event that you breach Sections 4.1 and 4.2 of these General Terms and Conditions or unlawfully or fraudulently make use of the Platform and the dpalombo_perio Academy Content, Dr. David Palombo reserves the right to restrict or terminate your use of the Platform by sending written notice to you at the email address associated with your account.

4.3. You are fully liable for your use of the dpalombo_perio Academy Content, the Platform and any other material contained therein, in violation of these General Terms and Conditions, as well as for any losses, costs or damages, direct or indirect and of any extent and nature, resulting from viewing dpalombo_perio Academy Content and using the Platform, including any damage to systems and computers or loss of data that is a direct or indirect consequence thereof.

5. INTELLECTUAL PROPERTY RIGHTS

5.1. These General Terms and Conditions form a license agreement and not a contract of sale or assignment of any rights in Dr. David Palombo’s dpalombo_perio Academy Content or the Platform. The license referred to in Section 4 above does not result in the creation of any ownership rights upon you with respect to the dpalombo_perio Academy Content or the Platform. All rights reserved.

5.2. All content on the Platform, including the dpalombo_perio Academy Content, images, photographs, audio and video files, trademarks, logos, text, information, graphics, animations, drawings, software, web pages and their different sections, functions, layout, or any other material made available on the Platform, are the property of Dr. David Palombo and are protected by Italian and international laws on intellectual property and database rights. All rights reserved.

6. PROCESSING OF YOUR PERSONAL DATA

6.1. You acknowledge that Dr. David Palombo is the controller of your personal data provided upon registration with and use of the Platform. For more information about the collection and processing of personal data, you may check the dpalombo_perio Academy’s Privacy Policy and Cookie Policy.

7. SUSPENSION AND TERMINATION OF ACCOUNT OR PLATFORM

7.1. You acknowledge and agree that Dr. David Palombo may restrict, suspend or terminate, in whole or in part, your access to your account on the Platform and to any dpalombo_perio Academy Content if Dr. David Palombo believes that you are using or have used the Platform in violation of these General Terms and Conditions or applicable laws or regulations, or for purposes other than those relevant to the Platform. In such a case, you will receive prior notice by email at the email address linked to your account.

7.2.Notwithstanding the provisions of Section 7.1 above, Dr. David Palombo may restrict or suspend your access to your account by giving reasonable prior notice to you by email at the address associated with your account, for additional reasons, including but not limited to: (a) in the event of requests by law enforcement or other competent authorities or (b) if Dr. David Palombo has reason to believe that your account has been fraudulently created, or that access to your account has been fraudulently gained, or that someone is using your account to commit any wrongdoing or for any purpose other than for the Platform or in violation of these General Terms and Conditions or applicable law. Dr. David Palombo also reserves the right, subject to prior notice to you at the email address associated with your account, to terminate any dpalombo_perio Academy account that remains inactive for one year (inactivity for the purposes of these General Terms and Conditions means failure to access your account from the Platform).

7.3. To the extent permitted by applicable law, you acknowledge and agree that Dr. David Palombo shall not be liable to you or any third party for any limitation, modification, suspension or termination of your access to your account, the Platform and/or the dpalombo_perio Academy Content.

7.4. Upon termination of the account, whether it is terminated by Dr. David Palombo in the cases referred to in this Section 7 or at your request, you will immediately lose the right to access the Platform and dpalombo_perio Academy Content streamed through the Platform.

8. LIMITATION OF LIABILITY

8.1. You acknowledge and agree that the dpalombo_perio Academy Content and the Platform are provided on an “as is” basis and without warranties of any kind. To the fullest extent permitted by applicable law, Dr. David Palombo makes no representation or warranty, express or implied, about the Platform and the dpalombo_perio Academy Content and any related services or content, including, but not limited to, warranties relating to merchantability, fitness for a particular purpose, accuracy, completeness, availability, security, compatibility, satisfactory quality, compliance, or uninterrupted supply. You further acknowledge and agree that Dr. David Palombo does not guarantee that the dpalombo_perio Academy Content and the Platform will be free of errors, viruses or other harmful components. Nor can any data transmission over the Internet or other information storage technology be guaranteed to be secure. To the extent permitted by applicable law, Dr. David Palombo expressly disclaim any and all liability, express or implied, in this regard.

8.2. To the fullest extent permitted by applicable law, you acknowledge and agree that Dr. David Palombo shall not be liable for any loss and/or damage, direct or indirect, of any kind (including consequential damages and loss of profits) and howsoever caused, arising out of or in connection with these General Terms and Conditions, your use of or access to the Platform or dpalombo_perio Academy Content, any viruses, corrupted files, errors, omissions, service interruptions, content deletions, network-related problems, data alterations, failure and/or malfunction of your own electronic equipment, as well as your use of the Platforms and dpalombo_perio Academy Content not in accordance with the applicable laws.The aforementioned limitations and exclusions also apply in the event that prior notice is given that the use or inability to use the dpalombo_perio Academy Content or the Platform may cause such loss and/or damage.It remains understood that if any liability ever arises on Dr. David Palombo, it shall, to the extent permitted by applicable law, not exceed the amount paid by you under these General Terms and Conditions in the purchase of the one-year license for the visualization of online training courses in e-learning mode and/or in the purchase of a one-to-one tutoring service via online video calls or, in case of registration to the Platform without an active license subscription, to the amount of Euro 100,00 (one hundred/00).

9. AMENDMENTS TO THESE GENERAL TERMS AND CONDITIONS

9.1. Dr. David Palombo reserves the right to change these General Terms and Conditions at any time by posting on the Platform the changes to the General Terms and Conditions, and the date at the bottom of these General Terms and Conditions will be changed to indicate the date of the last amendment of these General Terms and Conditions. You are required to periodically check the Platform at www.dpalomboperio.academy/lp-term-conditions/ and see if any changes have been made to these General Terms and Conditions. If changes to these General Terms and Conditions result in a serious inconvenience to you, or materially limit your access to or use of the Platform and related services, Dr. David Palombo will notify you with reasonable prior notice at the email address associated with your account.If changes to the General Terms and Conditions or services are necessary to meet legal, regulatory or health and safety requirements, Dr. David Palombo may not be able to notify you in advance, but will notify you as soon as practicable by posting a notice on the Platform.Your continued access and use of the Platform following such changes or updates will count as your acceptance of the new General Terms and Conditions as amended.

10. MISCELLANEOUS

10.1. You acknowledge and agree that the dpalombo_perio Academy Content transmitted through the Platform is intended solely for educational and entertainment purposes aimed at dental care professionals (dentists, dental hygienists, dental technicians, and staff employed by companies belonging to the dental industry). The dpalombo_perio Academy Content does not offer legal, financial, professional, medical, or health advice and may not be used for such purposes.

10.2. We use various technologies to provide you with an optimal viewing experience. Th edpalombo_perio Academy Content may elicit different reactions in each person viewing it. You may come across some dpalombo_perio Academy Content that you find offensive, indecent, explicit, or objectionable. The dpalombo_perio Academy Content may also contain certain patterns or sequences of flashing lights that may affect users with photosensitive epilepsy or other photosensitivities. In addition, 4K, UHD, and HDR versions of dpalombo_perio Academy Content allow for increased brightness and color saturation that may also affect users.

10.4. Applicable Law and Jurisdiction. These General Terms and Conditions are governed by and shall be construed in accordance with Italian law. For anything not expressly governed herein, reference shall be made to Italian law only. The Court of Milan shall have exclusive jurisdiction for all disputes relating to or arising from these General Terms and Conditions.

10.5. Severability. If any term or provision of these General Terms and Conditions is declared null, illegal, ineffective or unenforceable by a court or other competent authority, such nullity, illegality, ineffectiveness and unenforceability shall not affect the other terms or provisions of these General Terms and Conditions. In such cases, the invalid, null or unenforceable provision shall be replaced with others that are valid and binding and whose effect, given the contents and purpose of these General Terms and Conditions, is, to the extent possible, similar to that of the invalid, null or unenforceable provision.

10.6. Validity. Those provisions of these General Terms and Conditions which by their nature are intended to remain valid and binding following termination for any reason of these General Terms and Conditions shall survive such termination.

10.7. Entire Agreement between the Parties. These General Terms and Conditions and the provisions contained herein constitute the entire agreement between you and Dr. David Palombo relating to the Platform and supersede any and all prior agreements, undertakings, negotiations, proposals or other understandings between the parties, whether oral or written. No waiver to enforce any provision of these General Terms and Conditions shall be deemed or constitute a waiver to enforce any other provision of these General Terms and Conditions.
